Terms of Service

1. Agreement
These Terms of Service govern your use of alkirabio.com and the Alkira compound ranking platform (the "Service") operated by Alkira Bio Pty Ltd ("the Company"). The Company's registered address is Level 3, 700 Swanston Street, Carlton VIC 3052, Melbourne, Australia. By using the Service you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.
2. Nature of the Service -- Computational Research Tool
The Service is a computational research tool for early-stage drug discovery prioritisation. Alkira scores uploaded compound series on predicted binding affinity, toxicity risk, and synthesizability in order to generate a ranked shortlist of candidates for laboratory synthesis consideration.
The Service is not a clinical, diagnostic, or regulatory decision system. Scores produced by the platform are predictive computational outputs intended to assist medicinal chemists in prioritising synthesis queues. They do not constitute:
- clinical efficacy or safety assessments;
- advice for use in human or animal clinical trials;
- submissions to or approvals by the Therapeutic Goods Administration (TGA), the Food and Drug Administration (FDA), the European Medicines Agency (EMA), or any other regulatory authority;
- CE-marked or TGA-registered medical device outputs;
- a substitute for qualified medicinal chemistry or regulatory affairs judgment.
You remain solely responsible for all downstream laboratory decisions, regulatory submissions, and determinations of safety or efficacy arising from your use of the Service. The Company makes no representation that scores produced by the platform will correlate with any clinical outcome.
3. Use of the Service
- You must be of legal age in your jurisdiction or have parental consent.
- You agree not to use the Service unlawfully, to interfere with operation, or to attempt unauthorised access.
- You may not scrape, reverse-engineer, or copy the Service except as permitted by mandatory law.
- You may not submit compound structures or SMILES data that you do not have the right to process or that are subject to third-party confidentiality obligations you have not satisfied.
4. Intellectual Property
The Service is owned by Alkira Bio Pty Ltd or its licensors and is protected by international intellectual-property law. The Company grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose of compound ranking in early-stage drug discovery research.
5. User Content
You are responsible for any compound structures, SMILES strings, or other content you submit to the Service. You grant the Company a limited licence to use, store, and process such content solely to provide the scoring and ranking Service. The Company does not use submitted compound data to train its models without your explicit written consent, and does not share your submission data with third parties except to the extent necessary to operate the scoring infrastructure.
6. Disclaimers
The Service is provided on an "as is" and "as available" basis. The Company disclaim all warranties to the maximum extent permitted by applicable law, including any implied warranty that scoring outputs will be accurate, complete, or fit for any particular purpose. Mandatory consumer warranties applicable in your country of residence are not affected by this disclaimer.
7. Limitation of Liability
To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the amount you paid in subscription fees in the three months preceding the claim, or AUD 150, whichever is greater. This limit does not apply to liability that cannot be excluded or limited under mandatory law, including under the Australian Consumer Law.
8. Indemnification
You agree to indemnify and hold harmless Alkira Bio Pty Ltd from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your downstream laboratory or regulatory decisions based on scoring outputs, or your violation of any third-party right.
9. Termination
The Company may suspend or terminate your access for material breach of these Terms. Sections 2, 4, 5, 7, 8, and 10 will survive termination.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of Australia. Disputes are subject to the non-exclusive jurisdiction of the competent courts in Melbourne, Australia, without prejudice to mandatory consumer-protection rights of your country of residence.
11. Changes and Contact
The Company may update these Terms. Material changes are posted with a new "Last updated" date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
